Terms & Conditions for Online Courses and Study Materials

The Villasis Law Center welcomes you to its Virtual Law Companion.

 Before accessing an Online Course or Online Study Material, kindly read these terms and conditions which will apply to any enrollment or access to our Virtual Law Companion:


Full policy

1.      Online Course Provider

1.1  The Online Courses and Study Materials are provided by Villasis Law Center, an entity duly organized and existing under the laws of the Republic of the Philippines, with address at 911-C Kapatiran-Kaunlaran Foundation, Inc. (KKFI), P. Paredes Street, Sampaloc Manila, Philippines and hereinafter referred to as “VLC”, “we” or “us”.

1.2  The websites being used and operated by VLC for the conduct of its Online Courses are the following:

1.3  We will use our reasonable endeavors to provide the Online Courses and Study Materials advertised by Villasis Law Center.

1.4  We will provide the Online Courses and Study Materials using reasonable care and skill.

1.5  We may appoint independent sub-contractors to assist in providing Online Courses or use third parties to arrange or supply certain aspects of, or services in connection with, our Online Courses. You agree that our obligation to you is to use reasonable care in selecting competent, independent sub-contractors and third party suppliers to provide reasonable services related to the Online Courses. You agree that Villasis Law Center is not in any way responsible for the actions or omissions of such sub-contractors or third party suppliers.

 

2.      Definitions

2.1  These terms used herein shall have the following meanings:

a.       “Additional Online Terms and Conditions” - means any additional terms and conditions relating to an Online Course agreed in writing by Villasis Law Center with a particular student;

b.      “Brochure/Poster” means any online or hard copy material produced by Villasis Law Center that provides detailed information with respect to the Online Courses;

c.       “Course Fee” means the fee payable for an Online Course or Study Materials but excludes any delivery charges payable in relation to the delivery of Course Materials, if applicable, and any import duties, taxes and customs clearances which may be payable;

d.      “Study Materials” means the course materials provided by Villasis Law Center in the course of the delivery of any Online Course;

e.       “On Demand Online Course” means an online course with pre-recorded video contents and study materials that can be accessed by you at your own pace, subject to terms and conditions of the Villasis Law Center. These include, but not limited to, Online Advance Bar Review, Online Pre-Bar Review, and Online Pre-Week Bar Review. It follows the asynchronous modality of teaching;

f.        “Online Course” means either an On Demand Online Course or a Scheduled Online Course  provided by Villasis Law Center;

g.       “Online Study Materials” means any material in an electronic format which may be (i) downloaded from the Website or (ii) accessed and viewed on the Website, including, but not limited to, PDFs, MP3s, JPEGs, MPEG4s and MOVs, subject to terms and conditions of the Villasis Law Center;

h.      “Scheduled Online Course” means an online course which is only available for access by you on a predetermined date including but not limited to Special Webinars, BECAM Sessions, Online Coaching, and courses delivered through synchronous modality;

i.        “Terms and Conditions of Website Use” means the terms and conditions pursuant to which you may access the Website and which can be found here.

j.        “Website” means the site being operated by VLC (www.virtuallawcompanion.villasislawcenter.com) for the conduct of its Online courses and study materials and/or any other domain operated by Villasis Law Center; and

k.      “You” means the individual who enrolled in the Online Course and was given access or authorization by VLC to access its Virtual Law Companion.

2.2  The use of singular words herein also include the plural.

 

3.      Online Course content and Access terms

3.1  Upon receipt of an enrollment confirmation email from Villasis Law Center, you will be notified of when you will have access to the Online Course enrolled and for the length of time such access will be made available to you, unless such Online Course is no longer available or is removed for legal causes at the discretion of Villasis Law Center.

3.2  The description of the Online Course on the Website and/or in any relevant Brochure will set out details of the contents of the available Online Courses, subject to reasonable changes and adjustments at the discretion of Villasis Law Center.

3.3  Except as set out in the description of the Online Course on the Website and/or in any relevant Brochure, no additional Course Materials and/or tuition (either online, face to face or classroom) will be provided by Villasis Law Center.

3.4  The receipt and use of an Online Course is strictly personal to you. You shall not share or transfer your rights to access the Online Course to any person or entity, in any form and manner, or otherwise provide an Online Course to any other person without prior written approval by the VLC Management.  Any breach of the foregoing shall allow VLC to immediately terminate your enrollment and cease to provide you with any services, including but not limited to access to the Online Courses and Materials without any refund whatsoever. Likewise, you agreed to pay liquidated damages to VLC amounting to Five Million Pesos (Php 5,000,000) without need of any demand whatsoever, and without prejudice to any criminal, civil, administrative actions, fines, penalties including imprisonment, etc..

3.5  You may incur charges to your internet service provider while you are accessing the Course Materials, which shall be for your account. Likewise, charges payable to third parties for the use of their software which are necessary to access and/or download the Course Materials shall be your responsibility and shall be for your account.

3.6  We reserve the right to monitor IP addresses that are used to access the Course Materials. If a student is found to be in contravention of the access rules set out in sub-paragraphs 3.4 and 9.1, 9.2., and 9.3., we may terminate a student’s access to the Online Course and the Course Material without liability or obligation to refund the Course fee, and subject further to the provisions of Paragraph 3.4.

3.7  Villasis Law Center operates a zero tolerance policy in relation to inappropriate behavior of students.  In particular, abusive or violent behavior directed at Villasis Law Center’s staff or other students and unfair or dishonest practices will not be tolerated under any circumstances.  Villasis Law Center may, in its reasonable discretion and without liability or an obligation to refund any Course Fee, refuse to supply any Online Course to any student who engages in inappropriate behavior.

 

4.      Modifications to Online Courses or technology enhancements

4.1  Villasis Law Center reserves the right to make modifications or changes to enhance the Online Courses being offered.  Such enhancements will not affect your enrollment and shall be free of charge to the extent that such changes shall relate to the Online Course you have purchased.

4.2  Purchase or enrollment in a current Online Course does not entitle you to have access to future revised Online Courses which is not related or part of the original purchase.

 

5.      Technical Support and Access

5.1  Villasis Law Center will use reasonable endeavors to make the Online Course available but cannot guarantee uninterrupted, timely or error free availability or that defects will be corrected immediately.

5.2  If you are unable to access an Online Course, Villasis Law Center will use reasonable endeavors to provide assistance in order to find a solution thereto, provided that  the Villasis Law Center has direct control over the system, software or settings involved. If the issue lies with your own hardware, systems, software or settings thereof, VLC may, subject to its discretion, help you resolve the issues, but we cannot guarantee that any assistance provided will completely solve the same.

5.3  Periods of downtime may be required in respect of the information technology infrastructure connected to the Website and that technical assistance may not be available during such periods of downtime.  Said periods of downtime shall not be considered as breach of contract, which can be enforced against VLC.

5.4  Villasis Law Center reserves the right to suspend access to the Website for the purpose of scheduled or emergency maintenance, repairs or upgrades to improve the performance or functionality of the Website.

5.5  Villasis Law Center is not responsible for any delay or disruptions to your access to the Online Course as a result of any suspension for emergency maintenance, repairs, upgrades or any other causes including but not limited to the following:

(a) the operation of the internet and the world wide web, including but not limited to viruses;

(b) any firewall restrictions that have been placed on your network or the computer you are using to access the Online Course;

(c) failures of telecommunications links and equipment; or

(d) updated browser issues.

 

6.      Warranties

6.1  VLC warrants that the services it offers shall be compliant to the existing laws, rules and regulations and generally accepted professional standards;

6.2  VLC warrants that it will provide available Course Materials in accordance with the Online Course description with the conformity of the lecturers, which is set out on the Website and/or in any relevant Poster.

6.3  All representations, warranties and/or terms and/or commitments not expressly set out in the Online Terms (whether implied by law, conduct, statute or otherwise) are deemed excluded.

 

7.      Limitation of liability

7.1    The exclusions and limitations of liability contained in the Online Terms do not apply to a party’s liability: (i) for fraud or willful default; (ii) for death or personal injury caused by its negligence; or (iii) where such limitation or exclusion cannot lawfully be excluded.

7.2    Villasis Law Center shall not be responsible for losses that may result from its failure to comply with the Online Terms including, but not limited to, losses that fall into the following categories:

(a) indirect or consequential losses;

(b) loss of income or revenue;

(c) loss of business;

(d) loss of anticipated savings; or

(e) loss or corruption of data.

 

7.3    Villasis Law Center is not responsible for any data that you may lose either as a result of accessing the Online Course or the Online Study Materials and/or during completion of any Online Course via the Website.  It is your responsibility to regularly save and back up all your data, whether stored on your computer during the access to the Online Course and the Online Study Materials or data you input to complete the Online Course.

7.4    Villasis Law Center will not be held responsible for any delay or failure to comply with its obligations under the Online Terms if the delay or failure arises from any cause which is beyond Villasis Law Center’s reasonable control. 

7.5    Save as otherwise set out in this section “Limitation of liability”, Villasis Law Center’s maximum aggregate liability for any claims in connection with the Online Terms, the Online Course, the use of the Course Materials and any technical support, shall be limited only to the amount of the Course Fee which has been paid. The subscriber thereby waives and other form of payment or compensation whatsoever from Villasis Law Center.

7.6    Each provision in this paragraph 7 shall be construed separately. If any part hereof is held or declared by the Court as unreasonable, inapplicable, or unenforceable, but would nonetheless be valid if some part thereof was deleted, such provision shall apply but with such modification as may be necessary to make it valid and effective.

 

8.      Disclaimers

8.1    The Online Courses are for bar exam review and training purposes only.  Villasis Law Center will not accept any responsibility to any party for the use of the Online Course or Course Materials for any purpose other than training for educational purposes, including but not limited to, the giving of advice by you to any third party.

6.1  Villasis Law Center does not make any commitment that you will obtain any particular result from your use of the Online Course or Course Materials or that you will obtain any particular qualification on completion of the Online Course (unless otherwise stated on the Website and/or in any relevant Poster).

6.2  Villasis Law Center does not make any representation, guarantee or commitment that the Online Course or Course Materials will be error free.

 

6.3  Villasis Law Center has no commitment that the Online Course or Course Materials will be compatible with or operate with your software or hardware.

6.4  An Online Course description constitutes only an indication of what the Online Course is planned to accomplish. It does not guarantee that VLC can provide what was described or it shall form part of the services that VLC will provide. Nevertheless, VLC will use all reasonable endeavors to provide the Online Course as described.

 

9.      Intellectual Property Rights

9.1    At all times, Villasis Law Center and/or its licensors and lecturers, shall remain the owner of the intellectual property in the Online Courses and the Course Materials.  Other than as specified below, no Online Course and/or Course Materials, nor any part of it may be reproduced, stored in a retrieval system or transmitted in any form or by any means without the prior written permission of Villasis Law Center.

9.2    In consideration of receipt by Villasis Law Center of the entire Course Fee (if you have chosen to pay for the Online Course with a one-off lump sum payment) or the first installment of the Course Fee (if you have chosen to pay for the Online Course in installments), Villasis Law Center grants you a non-exclusive, non-transferable license to access the Online Course and use the Course Materials content for the sole purpose of studying for the Online Course.  For Online Study Materials, the license granted is to use the Online Study Materials by an individual student only.

9.3    You are not authorized to:-

(i) copy, modify, reproduce, re-publish, sub-license, sell, upload, broadcast, post, transmit or distribute in any way the Online Courses or any Course Materials without prior written permission from the Villasis Law Center;

(ii) record on video or audio tape, relay by videophone or other means the Online Courses, Online Course Materials given;

(iii) use the Course Courses and Materials in the provision of any other course or training whether given by us or any third party trainer;

(iv) remove any copyright or other notices of the Villasis Law Center’s ownership thereof on the Online Courses and  Materials;

(v) modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software forming part of the Online Courses and Materials.

Any breach of the foregoing shall allow VLC to immediately terminate your enrollment and cease to provide you with any services, including but not limited to access to the Online Courses and Materials without any refund whatsoever. Likewise, you agreed to pay liquidated damages to VLC amounting to Five Million Pesos (Php 5,000,000) without need of any demand whatsoever, and without prejudice to any criminal, civil, administrative actions, fines, penalties including imprisonment, etc.

 

10.   Data Protection

10.1      The nature of the services we provide means that we will obtain and use certain information or data about you ("Data"). This statement sets out the principles governing our use of your Data by purchasing the Online Courses and Materials.

10.2      Upon enrollment, you will need to provide your contact details and demographic information. We will store this Data and use it to contact you, provide you with details of the Services you have purchased and otherwise as required during the normal provision of the course including the future programs and activities of Villasis Law Center.

10.3      We may also use the date you provided in response to surveys, to aggregate user profiles, communications, announcements, notices and direct or indirect marketing promotions. VLC may provide or pass any of your personal data to persons duly authorized by VLC to collect, store or use your data without your prior consent.

10.4      We may also gather certain aggregated information about you, including details of your operating system, browser version, domain name and IP address, the URL you came from and go to and the parts of the Website you visit for monitoring purposes and improvements to our Online Courses.

10.5      We use information such as your User ID, session identifiers and password to enable us to identify whether you are using our services, assist with the provision of services and to ensure that you have access to relevant online courses. We will only read cookies from your cookie file placed there through your web browser's interaction with the Website.

10.6      Our products may link to third party websites and we are not responsible for their data policies or procedures or their content.

10.7      Villasis Law Center endeavors to take all reasonable steps to protect your personal Data including the use of encryption technology, but cannot guarantee the security of any Data you disclose. You accept the inherent security implications of being and transacting on-line over the internet and will not hold us responsible for any breach of security.

10.8      Villasis Law Center may supplement the information that you provide with information we receive from third parties.

10.9      You have the right to change or update the data we have collected from you by sending a request to our email at villasislawcenter@gmail.com.

 

11. Inconsistency of Terms

         If there is any conflict between these Terms and Conditions of Online Courses, any applicable Additional Online Terms and Conditions and the Terms and Conditions of Website Use, the conflict shall be resolved according to the following order of priority:

1.     the Additional Online Terms and Conditions;

2.     the Terms and Conditions of Online Courses; and

3.     the Terms and Conditions of Website Use.

 

12. General Terms and Conditions

12.1      Villasis Law Center reserves the right to recover any reasonable debt collection costs in connection with the Online Terms.

12.2      Villasis Law Center may update or amend the Online Terms from time to time to comply with law or to meet its changing business requirements or to correct any errors without notice to you.  Any updates or amendments will be posted on the Website.

12.3      You may not assign or sub-contract any of your rights or obligations under the Online Terms to any third party unless allowed by Villasis Law Center upon written consent pursuant to Additional Online Terms and Conditions.

12.4      Villasis Law Center may assign, transfer or sub-contract any of its rights or obligations under the Online Terms to any third party at its discretion.

12.5      No failure or delay by Villasis Law Center exercising any right or remedy under the Online Terms shall operate as waiver of that right or remedy or shall affect its ability to subsequently exercise the same.  Any waiver must be agreed by Villasis Law Center in writing.

12.6      If any of the Online Terms are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, the rest of the Online Terms shall remain in full force and effect.

12.7      Any notices required to be served to you by Villasis Law Center under the Online Terms will be deemed properly served if emailed to the email address you provided to Villasis Law Center, or otherwise posted on VLC’s Website, Facebook, Instagram, Viber accounts and other social media platforms, respectively. 

12.8      A notice sent by post is deemed to be given on the day it was posted as evidenced by the sender.  A notice sent by email is deemed to be given on the day it was sent.

12.9      The Contract between you and Villasis Law Center is not intended to be for the benefit of any third party, and shall not be exercised by any other person.

12.10 The Online Terms, and any other matters arising out of or in relation to the Online Terms, are governed by and construed in accordance with the laws of the Philippines.
